Homewise Solutions Inc. ("Homewise", "we", "us" or "our") owns and operates the website located at https://thinkhomewise.com (the "Website") and related apps and services. These Terms of Use apply to all users of the Website, including users who upload any materials to the Website, users who use services provided through the Website, users who download the app and users who simply view the content on or available through the Website.

By using the Website you indicate your acceptance of these Terms of Use. If you do not accept these Terms of Use, do not use the Website or any of its content or services. Homewise may amend or update these Terms of Use from time to time. If we make material changes, we will give notice on the Website or by email before they take effect. Your continued use of the Website after changes take effect means you accept the revised Terms of Use. Any new features added to the Website will be subject to these Terms of Use unless stated otherwise.

Privacy

Our Privacy Policy explains how we collect, use, share and protect your personal information, including information in your application and the documents you upload, and forms part of these Terms of Use. Where these Terms of Use and the Privacy Policy deal with personal information differently, the Privacy Policy applies.

The Service

The Homewise service allows individuals to work with our licensed mortgage team, supported by our technology, to get a mortgage through the Website (the "Service").

Content. All information, data, text, software, music, sound, photographs, graphics, video, messages or other materials, whether publicly posted or privately transmitted to the Website by viewers or users ("User Content"), is the sole responsibility of the viewer or user who made it available. Homewise does not control or actively monitor publicly posted User Content and does not guarantee its accuracy, integrity or quality. To the extent permitted by law, Homewise will not be liable for any errors or omissions in any User Content, or for any loss or damage incurred as a result of the viewing or use of any User Content posted, emailed, transmitted or otherwise made available via the Service.

Restrictions on User Content and Use of the Service

Homewise reserves the right at all times (but will have no obligation) to remove or refuse to distribute any User Content and to terminate users or reclaim usernames. We also reserve the right to access, read, preserve and disclose any information as we reasonably believe is necessary to (i) satisfy any applicable law, regulation, legal process or governmental request, (ii) enforce these Terms of Use, including investigation of potential violations, (iii) detect, prevent or otherwise address fraud, security or technical issues, (iv) respond to user support requests, or (v) protect the rights, property or safety of our users and the public.

In using the Website or Service you shall not: copy any content unless expressly permitted to do so; upload, post, email, transmit or otherwise make available any material that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, pornographic, libelous, invasive of another's privacy, hateful, or racially or ethnically objectionable, encourages criminal behaviour, gives rise to civil liability, violates any law, or is otherwise objectionable; make available any material you do not have a right to make available under any law or contract; infringe any patent, trademark, trade secret, copyright or other proprietary rights of any party (including privacy rights); send unsolicited or unauthorized advertising, solicitations, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation; upload software viruses or any other code, files or programs designed to interrupt, destroy or limit the functionality of any software, hardware, telecommunications equipment or data, or that compromise a user's privacy; provide information that is false, misleading or deceptive; harm minors in any way; impersonate any person or entity or misrepresent your affiliation with a person or entity; forge headers or otherwise manipulate identifiers to disguise the origin of any material; interfere with or disrupt the Website or connected servers or networks, or probe, scan or test the vulnerability of any system or network or breach or circumvent any security or authentication measures; violate any applicable local, provincial, national or international law or regulation; collect or store personal data about other users without their permission; license, sell, rent, lease, transfer, assign, distribute, host or otherwise commercially exploit the Website; or modify, translate, make derivative works of, disassemble, decompile, reverse compile or reverse engineer any part of the Website or its software, except to the extent such restrictions are prohibited by applicable law.

You also agree not to access the Website in a manner that uses its resources more heavily than an individual using a conventional web browser, including through scraping, bots or automated data collection. Operators of public search engines may use spiders or other bots to create publicly available searchable indices of the materials on the Website.

Licence of Content

By submitting, posting or displaying User Content on or through the Service, you grant us (and our agents and service providers) a non-exclusive, royalty-free licence (with the right to sublicense) to use, copy, modify, transmit, display and distribute such User Content for the purposes of providing and improving the Service. Personal information in your User Content, including your application and uploaded documents, will be used and protected only as described in our Privacy Policy. You represent and warrant that you have all the rights, power and authority necessary to grant these rights for any User Content you submit.

Ownership and End User Licence

Except for User Content, the Website, the Service and all related software, technology, algorithms and models (including our client scoring, lender matching, document processing and AI assistant technology, such as Client Score, Mortgage Match and Lilly), and all compilations of data and de-identified or aggregated information we create, are the property of Homewise and its licensors and are protected by copyright, trademark, trade secret and other intellectual property laws. Subject to these Terms of Use, Homewise grants you a non-transferable, non-exclusive, revocable licence to use the Website for your personal use. Nothing in these Terms of Use gives you a right to use the Homewise names, trademarks, logos, domain names or other brand features without our prior written consent. You shall not attempt to override or circumvent any usage rules or restrictions on the Website. Any future release, update or addition to the Website is subject to these Terms of Use.

Artificial Intelligence and Automated Tools

The Service uses technology, including artificial intelligence (AI), to help collect and check application information, process documents, assess how ready your application is, and match you with suitable lenders and products. Our AI assistant, Lilly, may call, text or chat with you. You can ask to speak with a member of our team at any time.

Information produced by these tools, including scores, estimates, rate information and lender matches, is provided to support our licensed mortgage professionals and to help you understand your options. It is not a credit decision, a mortgage approval or a commitment to lend. Lending decisions are made by lenders. Automated tools can make mistakes, and our team works on your file before it is submitted to a lender. Please tell us if any information looks wrong. More information on how we use AI is in our Privacy Policy.

Feedback

If you provide Homewise with any suggestions, comments or other feedback about the Website or Service ("Feedback"), Homewise may use such Feedback in the Website or in any other Homewise products or services (collectively, "Homewise Offerings"). Accordingly, you agree that: (a) Homewise is not subject to any confidentiality obligations in respect of the Feedback, (b) the Feedback is not confidential or proprietary information of you or any third party and you have all necessary rights to disclose it to Homewise, (c) Homewise (including its successors and assigns and any successors and assigns of any Homewise Offerings) may freely use, reproduce, publicize, license, distribute and otherwise commercialize Feedback in any Homewise Offerings, and (d) you are not entitled to any compensation or reimbursement of any kind in respect of the Feedback.

Links and Third-Party Websites

The Website (including User Content) may contain links to websites that are not owned or controlled by Homewise. A reference to any third party, product or service is not an approval or endorsement by Homewise. Homewise is not responsible for the content of any linked websites. Third-party websites and services are subject to their own terms and conditions, and you are responsible for reviewing and complying with them. To the extent permitted by law, you release Homewise from all liability and damages that may arise from your use of such websites or services.

Disclaimer of Representations, Warranties and Conditions

The Website, Service and all materials provided through them are provided "as is." To the extent permitted by law, Homewise disclaims all representations, warranties and conditions, express, implied, statutory or otherwise, including any implied warranties of merchantability, non-infringement, title, satisfactory quality or fitness for a particular purpose. Any information or material downloaded or otherwise obtained through the Service is at your own discretion and risk. Homewise does not warrant, endorse, guarantee or assume responsibility for any product or service advertised or offered by a third party through the Website or any linked website, and Homewise is not a party to any transaction you may enter into with a third party.

Limitation of liability. To the extent permitted by law, Homewise shall not be liable for any direct, indirect, incidental, special, consequential, exemplary or other damages, including damages resulting from (i) your use of or inability to use the Website or Service, (ii) the cost of procurement of substitute goods, data, information or services, (iii) errors, mistakes or inaccuracies in the materials on the Website, (iv) personal injury or property damage arising from your use of the Service, or any bugs, viruses or other harmful files transmitted to or through the Website, or (v) any other loss or damage arising from or relating to your use of the Website. These limitations apply even if Homewise has been advised of the possibility of such damages. Homewise's total liability to you for any damages arising from or related to these Terms of Use will be limited to the greater of (a) fifty Canadian dollars ($50) or (b) the amounts you have paid Homewise in the prior 12 months (if any). Nothing in these Terms of Use limits any rights you have under applicable consumer protection legislation or any liability that cannot be limited by law.

Indemnification

You agree to defend, indemnify and hold harmless Homewise and its subsidiaries, affiliates, officers, directors, investors, employees, contractors, agents, successors, assigns, information providers and licensors from all claims, actions, proceedings, demands, damages, losses, settlements, judgments, costs and expenses (including reasonable legal fees) arising from (a) materials you submit, post, transmit or make available through the Service, (b) your breach of these Terms of Use or of any applicable law or regulation, or (c) your interactions with other users. You will not settle any claim for which you must indemnify Homewise by admitting fault on Homewise's behalf, or create any obligation for Homewise, without Homewise's prior written approval. You agree to cooperate with Homewise in its defence of these claims, and Homewise may take exclusive control of the defence at its own expense.

Termination

Homewise may, without prior notice, terminate your access to the Website or portions of it. Causes for termination include, but are not limited to, (a) breach of these Terms of Use or any other agreement you have with Homewise, (b) requests by law enforcement or other government agencies, (c) a request by you, (d) discontinuance or material modification of the Website, (e) unexpected technical, security or legal issues, or (f) your participation in fraudulent or illegal activities. Termination may include removal of materials you uploaded, subject to our record-keeping obligations and our Privacy Policy. Homewise shall not be liable to you or any third party for any termination of your access. Any termination is in addition to any other rights and remedies Homewise may have.

Availability and Updates

Homewise may alter, suspend or discontinue the Website at any time and for any reason, without notice. The Website or Service may be unavailable from time to time due to maintenance, malfunction of computer or network equipment or other reasons. Homewise may add or update the information and materials on the Website without notice.

Security

We protect your information using the safeguards described in our Privacy Policy. However, information sent or received over the internet is never completely secure, and Homewise cannot guarantee the security of any communication to or from the Website. You are responsible for safeguarding your password and for any activity under your account. Please keep your password secure and tell us promptly if you believe your account has been compromised.

Promotions and Cash Back

Homewise may offer promotions that provide a cash back reward to clients when their mortgage closes through Homewise. Unless the promotion states otherwise, cash back will be provided when the mortgage closes if:

  • the mortgage amount is over $150,000; and
  • no other cash back or equivalent benefit is provided, such as a rate reduction beyond a reasonable level or payment of costs such as an appraisal.

Disclosure for Referral

If you have been referred to Homewise by a realtor or other referrer who is required to disclose the referral, the referrer must tell you that they participate in a referral program with Homewise and will be paid a referral fee. In Ontario, referrers must follow the rules set by the Financial Services Regulatory Authority of Ontario (FSRA) under the Mortgage Brokerages, Lenders and Administrators Act, 2006, including Ontario Regulation 407/07 (Exemptions from the Requirements to be Licensed), and similar rules apply in other provinces. Real estate professionals must also comply with applicable tax laws and the Trust in Real Estate Services Act, 2002 (formerly the Real Estate and Business Brokers Act, 2002). Ontario Regulation 407/07 provides, in part:

"1. (1) A person or entity who refers a prospective borrower to a prospective mortgage lender is exempted under subsection 6 (4) of the Act from the requirement in section 2 of the Act to have a brokerage licence or a mortgage broker's or agent's licence if the person or entity complies with both of the following requirements and criteria: Before or at the time of making the referral, the person or entity informs the prospective borrower in writing, i. that the person or entity has received or will or may receive a fee or other remuneration, whether directly or indirectly, for making the referral, and ii. of the nature of the relationship between the person or entity and the prospective lender. The only other information that the person or entity is permitted to give to the prospective borrower is the name, address, telephone number, fax number, email address or website address of the prospective lender or of an individual who acts on behalf of the prospective lender. (2) Nothing in subsection (1) affects the right of a person or entity who does not have a brokerage licence or a mortgage broker's or agent's licence to refer a prospective borrower to a prospective lender for no fee or other remuneration."

Referral Partner Information Sharing

  • We may use your information to assess your needs and determine your eligibility for products and offers, and to improve and create new products and services, as described in our Privacy Policy.
  • By submitting an application, you consent to us sharing your information, including contact, credit and financial information, with our affiliates and partners for the purposes of developing and promoting products, improving and creating new products and services, staying up to date on your status, and contacting you to offer products and services.
  • A referral partner may receive a revenue share, cost per lead or marketing fee for their referral. The amount may vary by partner.

Referral to Real Estate Partners

By agreeing to these Terms of Use and submitting a pre-approval application, you consent to Homewise sharing your pre-approval details with select real estate partners, including but not limited to Wahi, unless you choose not to. We do this to connect you with real estate services that may support your home buying process. You can tell us at any time that you do not want your information shared with real estate partners.

Binding Contract

You agree to be bound by these Terms of Use and represent that you are of legal age to enter into binding contracts when you visit and use any of the websites in the Homewise family (including Homewise and Homewise Real Estate) or when you register for a Homewise account. If you are using the Service on behalf of an organization, you represent that you have the power to bind that organization to these Terms of Use, and "you" and "your" refer to that organization. If the organization and Homewise have a separate written agreement covering use of the Service, that agreement takes precedence over any conflicting part of these Terms of Use. You may not use the Service, access our websites or sign up for a Homewise account if you do not agree to be bound by these Terms of Use. You acknowledge that these Terms of Use are supported by reasonable and valuable consideration, including your ability to access, use, submit information to and receive information from the Service.

Communications

Consent through your application. Your application is how you opt in. By submitting an application, pre-approval or other request through the Service and accepting these Terms of Use, you give Homewise your express consent to contact you by email, phone and text at the contact information you provide, including through automated, prerecorded or AI-assisted calls and messages (including our AI assistant, Lilly), about your application, your mortgage, your renewal and other Homewise mortgage products and offers that may be of interest to you. This consent is sought in accordance with Canada's Anti-Spam Legislation (CASL) and the CRTC's Unsolicited Telecommunications Rules, and applies even if your number is registered on the National Do Not Call List.

Partner offers. Your application also gives our affiliates and partners your consent to contact you about their products and services, as described under Referral Partner Information Sharing. You can withdraw this consent at any time.

Message and data rates may apply depending on your mobile plan.

You can withdraw your consent to marketing at any time: click the unsubscribe link in any marketing email, follow the opt-out instructions in any text, ask to be placed on our internal do-not-call list during a call, or email hello@thinkhomewise.com. We will process your request within the time required by law. You may continue to receive transactional communications after you withdraw consent to marketing. Please tell us if your phone number changes so we do not contact someone else.

Our independent partners include Canadian real estate salespeople, brokers and insurance providers.

Offers from Our Third Party Providers and Affiliates

Homewise and our partners and affiliates may offer access to residential real estate information through the Service and, at your request, may put you in contact with third-party service providers such as real estate agents, mortgage brokers and lenders, mortgage information services, insurance brokers and other businesses offering services related to buying and selling real estate ("Third Party Providers"). We are not your agent or the agent of any Third Party Provider, and we do not endorse any Third Party Provider's products or services. You are responsible for researching any Third Party Provider before hiring them. Services offered by Third Party Providers are their sole responsibility, and to the extent permitted by law, we are not responsible for any losses, costs, damages or claims arising from your use of them. We encourage you to seek advice from qualified professionals who understand your circumstances before making financial decisions. To the extent permitted by law, you waive all claims against Homewise arising from your use of a Third Party Provider's products or services, including any fees charged by a Third Party Provider.

Referral Provider

We may provide links through the Service to third-party partners (each a "Referral Provider") who may offer you additional products and services. Referral Providers usually pay us for these referrals. If you choose to engage with a Referral Provider, you may need to accept the Referral Provider's own terms of service. The Referral Provider alone is responsible for its products, services and content and for any claims relating to them. Homewise is not a party to any contract between you and a Referral Provider. When you accept a referral, you authorize us to share your information with that Referral Provider so it can assess your eligibility for its products and services, as described in our Privacy Policy.

Third-Party Content

Homewise may show advertising and provide links to third-party websites and content over which Homewise has no control. To the extent permitted by law, Homewise is not responsible for any third-party information, advertising or goods, and is not liable for any loss or damage arising from your dealings with advertisers or your use of third-party products or services.

CREA

  • Terms of Use. Homewise Real Estate is a member of The Canadian Real Estate Association (CREA). Some of the real estate listing content on this Website is provided under licence from CREA, and CREA owns or controls that content. By using this Website, you agree to these Terms of Use as they relate to that content, and acknowledge that they are a legally binding agreement between you, Homewise and CREA.

  • Copyright. Listing content on this Website is protected by copyright and other laws and is intended only for the personal, non-commercial use of individuals. Any other reproduction, distribution or use of the content, in whole or in part, is prohibited. Commercial use, "screen scraping," "database scraping" and any other activity intended to collect, store, reorganize or manipulate data on the pages produced by or displayed on this Website are prohibited.

  • Trademarks. REALTOR®, REALTORS® and the REALTOR® logo are certification marks owned by REALTOR® Canada Inc. and licensed exclusively to CREA. These marks identify real estate professionals who are members of CREA and who must abide by CREA's By-Laws, Rules and the REALTOR® Code. The MLS® trademark and the MLS® logo are owned by CREA and identify the professional real estate services provided by members of CREA.

  • Liability and Warranty Disclaimer. The information contained on this Website is based in whole or in part on information provided by members of CREA, who are responsible for its accuracy. Compliance with Regulatory Requirements

Homewise and its partners will adhere to the Mortgage Broker Regulators' Council of Canada (MBRCC) Code of Conduct and the requirements of the mortgage brokerage regulator in each province where we operate, including the Financial Services Regulatory Authority of Ontario (FSRA), the Real Estate Council of Alberta, the BC Financial Services Authority, the Manitoba Securities Commission, the Financial and Consumer Services Commission (New Brunswick), the Financial and Consumer Affairs Authority of Saskatchewan, and the regulators in Nova Scotia and Newfoundland and Labrador. Partners that are not licensed mortgage brokerages may only make simple referrals, providing basic contact information. Any activity beyond this must be carried out by a licensed brokerage in compliance with applicable law, including Ontario Regulation 188/08 in Ontario.

General

These Terms of Use, together with our Privacy Policy, are the entire agreement between you and Homewise relating to the Website and Service. These Terms of Use may only be modified in a writing signed by both parties or by a new posting of these Terms of Use by Homewise. If any part of these Terms of Use is held to be unlawful, void or unenforceable, that part will be severed and will not affect the remaining provisions. Homewise's failure to enforce any right or provision is not a waiver of it. Any waiver must be in writing and applies only to the specific instance identified. These Terms of Use are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, without limiting any rights you have under the consumer protection laws of the province where you live.
